Just bring up the last time you hung out with his friends (something like, "so-and-so seems really nice, blah, blah. But what's up with (the girl)? she doesn't she seems pretty cold."
This makes you a totally innocent observer of his friends; you're not telling him his friends suck, because you start out by saying how you like another one of his friends, So he will not feel defensive when you mention the girl.

Depends on the nature of his relationship with this girl. If she's into him and is just waiting for you two to break up, then you can't do much besides keep your relationship going a smoothly as possible. If they've been buddies for a long time, he probably complains to her about you when he's upset and she has a slanted opinion of you. In that case, you just need to be polite and up front with her so she sees there's more to you than his little pet peeves.
Either scenario could also just lead to her being jealous of the time he spends with you instead of her.
