It is mostly the geometry.

A womens bike will usually have a shorter top tube, meaning there is less of a reach to the handlebars. Some will have shorter stems too.

The seat is different, with the women's having a womens specific design.

Sometimes the top tube is slanted - this is based only on tradition, as old womens bikes were like this to accomodate women wearing skirts.

Many taller women use mens bikes, as the geometry is more appropriate for them.

My advice, get fitted at a shop - there is an awful lot to bike fitting.

Depends. If it's for serious riding, there's often no difference between them, as CT said above, except for the size obviously.

The seating pads made for males' bycicles are made less "pointy" around the groin area for obvious reasons.
