My old P2-450 has had its day, nothing in the comp can be upgraded anymore mobo will not accept any higher speed processor, I'am thinking of replacing the innards with a P-4, which would involve changing Motherboard, Memory, Processor, harddrive etc in short everything in the case except the case itself, will I have to buy a new copy of winXP (ive had old copy since it came out in 2001, purchased retail), will winxp transfer to the upgraded comp? Old comp will be thrown in the garbage

If you have bought a boxed version of XP as you have mentioned, then there is absolutely no issue with installing the OS again on basically a new system since the old system will be disposed of. You should be able to activate this installation.

Yes, providing your 2001 version isn't an OEM (Original Equipment Manufacturer) which can only be installed on the original PC.

Read the label on the XP CD.

yes just make your old harddrive a slave drive and use the tranfer wizard to move the operating system and all files to the new hard drive. then reformat the slave drive and use it as storage.
