You'll have to do a fresh install of xp, you cannot upgrade! Just put the xp cd in the cdrom drive and reboot, your system will boot right to the cd allowing you to do a fresh install of xp.

Is your 2000 and XP of the same flavor? For example is yoru 2000 pro and your xp pro or is one pro and the other home. It sounds like to me that your 2000 is professional and your XP is home. In this case this would not be a supported upgrade path as there are features in 2000 and xp pro that are not supposed to be available in the home editions.
If your XP CD is a Full install and not an upgrade CD you can do a fresh install of windows XP back up all your data first before installing XP.
If you don't have a full install CD you will need to purchase one at your local retail store.

As I recall, you can't upgrade from Windows 2000 Professional (what I use) to XP.
Your best bet is to back up your data onto an external USB hdd, USB thumbdrive, DVD-R(W) or CD-R and do a fresh install of XP. This means you completely wipe out your Windows 2000 drive partition (usually your C:\).
A best practice during install is to create two partitions on the hard drive. For instance, if you have a 40 GB hard drive, carve 15 GB or so out for the Windows OS (C:) and keep all your data on the remaining 25 GB (D:). This way, if Windows XP every crashes hard, it won't touch your data and you can recover it.

If I can recall correctly, you must have Windows 2000 with SP4 to upgrade to Windows XP.
Make sure your Windows 2000 is updated to SP4. If you suspect it's not, run Windows update.
Make sure you give your Windows 2000 a heartfelt goodbye. Sad to see such a great operating system grow up.

you just enter the XP Cd to your CD drive then it will automatically load the windows XP. I think so. Before that you just check your hardware capacity.
