While the miles are high, with vehicles in that price range, the condition matters more!
If you are serious about purchasing the vehicle, have it checked out by your own qualified mechanic. Most dealers will have no problem with letting you take the vehicle to be inspected, (during normal business hours, at a local shop, at your own expense).
It will cost you around $100 to have the car checked over, depending on the labor rate in your area, but this is well worth it. When you know the mechanical condition of the vehicle, you will be able to decide if it is a good deal or not.
You do not give enough information in your question for me to determine if the vehicle is a good buy or not. Is it a two or four wheel drive? What is the trim level? From the limited information I do have, if the vehicle is in good mechanical condition, it may be a good buy!

Why would you even consider any vehicle with almost a quarter of a million miles on it? Maybe as a yard vehicle to plow my driveway, but that's all.
All you'll do is shovel (pun intended) money into it. By the way, the dealer is asking FAR too much for that. Even allowing for a quick run through the shop and an inspection sticker, I'd think 5 to 7 hundred is appropriate. Personally, I wouldn't want it if you gave it to me free, but thats just me.

And you will have a new engine/transmission ready? How about the looseness of the suspension. Way to many miles to depend on for every day transportation. Do you know how horrible the gas milage is even with a new good running motor? 4.3 liter V-6 4X4 jimmys get about 14 miles a gallon at 70 mph.

I'd price it at 8,260 dollars. You got to pay for its maintenance though.
