With that size of screen and viewing distance (3 times the diagonal size), you could watch HDTV or old NTSC and be far enough away. With that said, it is really personal preference of whether you want larger size or better resolution.

I would personally go with the higher resolution which will give your more compatibility with the future and more resale value down the road.

At 12 feet, you will probably not be able to discern a difference between 1080p and 720p with either the 46" or 42" TVs for most TV viewing. Actually, at 12 feet, you should be going with a larger TV, closer to 50" to 60". At those sizes, you may be able to see a difference between 1080p and 720p.

So to answer your question, I would say the 46" 720p TV would be a better fit for you. The size would be more of a benefit than the resolution.

Caveat - all other factors are assumed to be equal. Stuff like inputs, contrast ratio, refresh rates, etc. also contribute to the overall enjoyment of the TV.

Always go for the larger choice. I have heard of people complaining that the tv they got was too small, but I have never heard anyone complain that the tv they got was too big.
