Would you be happy if down the track he wanted kids? Would you consider your self too old for that?
Just think about little things like that, he may want but you may not be able to/too old for. I am not saying 40 is old, but by the time you get comfortable with each other and things get serious you will be a little older than 40.

If you just want to date for fun. Go for it. If you are looking for marriage in the future, it will be a challenge. I am a man, and I was in such a relationship. So, I can tell you the he will get a lot of questioning from his family.
