IF the box is a GENUINE Microsoft one it means the pc did not pass the windows genuine advantace software anaysis.
But it could be a spyware / malware program trying to trick you.
I'd reccomend these 2, run each in turn
ADAWARE fro www.lavasoftusa.com (Free personal version)
also SPYBOT S&D from www.spybot.org (Again free for home use)
Also worth having in toolbox is CCLEANER from www.ccleaner.com again a free download, and a good general windows tidyup utility.

Another alternative suggest that three files are installed Windows XP System Folder for WGA:
\WINDOWS\system32\WgaLogon.dll
\WINDOWS\system32\WgaTray.exe
\WINDOWS\system32\LegitCheckControl.dll
The wgatray.exe process makes the check for genuine windows software. If WgaLogon.dll is denied execution right, that WinLogon is unable to call it to check on Windows validity and display notification package at boot, and since WgaLogon is also responsible for running and maintaining WgaTray.exe, no more tray popups either.
To change and disable the execute bit of WgaLogon.dll:
1. Turn off Simple File Sharing in Tools -> Folder Options -> View tab.
2. Right click WgaLogon.dll in Windows Explorer and open the Security Tab.
3. Click Advanced button.
4. Uncheck the Inherit box at the bottom.
5. Click the Copy button.
6. Click OK.
7. Go through each listed user/group and remove the “Read & Execute” permission for WgaLogon.dll, leaving the “Read” permission as-is.
8. Click OK to apply the permission changes.
9. Close the file properties dialog.
10. Restart the computer.
11. Turn “Use simple file sharing” on (optional).
Optionally, steps suggested by PSNet which has the same effect - disabling WgaLogon.dll.

if u r faceing the window which says u " you may be a victim of software counterfeiting"
then u microsoft windows XP's copy i unliggle or not registered with microsoft,
if u have licence version of Windows then first register it with microsoft and after register use support of support.microsft .com
if u have an piretoed version of windows xp, then
in u r computer installed 3 or more files with name of
WgaTray.exe
LegitCheckControl.dll
WgaLogon.dll
to crack it just open
just goto run==>> type "System32" and click ok
find this three files
and rename it
after rename all files
go to task manager (use CTRL+SHIFT+ESC)
click on process tab
find
WgaTray.exe
and
right click on it and select endprocess tree
it will help u

on the icon tray, u see their an icon like a star, saying that your windows is not genuine, right click on it then a dialog box appear then click settings to be able to disable that pop-up

go to microsoft.com and search for validation tool.once there check your windows version to see if it is genuine,if not this is probably a message from microsoft telling you they know you are using pirated operating system, if your copy shows valid then this is probably a virus or spyware na da scan with anti-viru-spyware program is needed to locate and erradicate it.

This shows that the windows you have installed is not genuine. This is one of the updates installed from internet but this cannot be uninstalled.
