when you format a drive, it simply means to return it to factory condition with nothing on it.

It takes the memory stick and translates everything that is essential into a PSP-friendly language, as well as preparing the stick to receive PSP data (for instance, creating the folders necessary for use with PSP). PSP is pretty smart with this, and under most circumstances, it shouldn't even need to do this. If it does, it takes under 10 seconds.
