I have a friend who is married but she has asked her husband for a divorce( but he refused and wants to work it out), he is not making her happy as far as trust and his continuing ways to not help financially. Well on top of this at work she has a guy who has been watching her and I know he is interested in her, he obviously knows she is married so I am thinking this is why he hasn't made his move. What do I tell her to do? I know that she could be happy ending this horrible marriage, and it already seems like there is someone else waiting, so what do I tell her? And their marriage is not effected by this other guy there are some real issues here, and her husband does not want to go to counseling.

If she asked your opinion on this she obviously wants your help. I laugh when people say "mind your own business" and then answer stranger's questions online (LOL). Tell her exactly what you think, she will appreciate your input and make a decision on her own. As adults, we should be able to take advice and use it to help make our OWN judgements, not blaming the person who gave the advice.
It's obvious the husband wants the convenience of staying married, without having to work on the problems. Divorce isn't a two-way street most of the time, if she wants it bad enough, she should call a lawyer.

Stay out of it, it's none of your business. Be there to listen to her, but keep your opinions to yourself. So many marriages end up in divorce because of the influence of friends.

You can help by minding your own business. As you sound like the friend of one and not the other or acting as mediator, you're not seeing the whole story only what your friend wants you to see.
