Because you have an Upgrade, and Microsoft looks for the original Windows you own, it should be 2000 or 98 or ME, which anything that says, I've owned a NON-upgrade in the past.
The problem with this is many OEM did not provide you with the original, so there is a work around:

if ur copy of xp said upgrade from either 98 or millenium edition, (most likely one that u bought, like i did) you just have to have an operating system older than xp to do it. so when u do that (this sucks) all of the stuff from xp will be removed. so after an old os is installed, put the xp cd in right after u turned ur pc on, push enter on boot from cd . folow the onscreen instructions. after it says it will continue after u restart, dont click boot from cd that time, then follow the instructions, and then when xp is installed, start downloading all of the stuff that u had.

It`s possible that the XP disc you have is an "upgrade" disc, in which case it`s simple. Load the 98 onto your PC, then enter your XP and restart your PC (do not remove the XP disc) then follow on screen instructions for complete XP installment.

You don't if you have the full version of XP. However, if you are reinstalling an jpgrade version, it needs to see that you are actually upgrading. Read the box notes that came with the upgrade. It is stated pretty clearly.
