They represent different aspects of the idea of "destruction."
Kali is the "Black Mother," the devouring maw, the "vagina dentata" - the womb as sarcophagus, eater-of-flesh, the Gate by which man enters and dies and is reborn anew.
Shiva is the third person of the Hindu trinity of Brahman, Vishnu, and Shiva - Creator, Preserver, and Destroyer. (To which is sometimes added Krishna "The Redeemer.") This represents the perpetual cycle of change of all things. The universe is eternally being created, preserved, and destroyed; every event is a modulation, a destruction of the old and a creation of the new.
