The saltwater croc is said to be able to kill animals up to the size of an adult male water buffalo. Both predators use stealth for hunting, both are powerful and strong but I think I will give this one to the shark because shark skin doesn't damage as easily as the retiles would, making the wounds inflicted by the shark more lethal than those it would sustain.

This depends on a few things. first of all is the shark in "hunting mode" this is triggered by blood or other smells in the water. If the shark is not in hunting mode it most likely would not recognise the croc as a threat because they are unintelligent animals, they rely on instinct. this would allow the croc to swim up and bit down on the sharks tail and then death roll. this would tear off the sharks tail, it would be unable to swim and would sink and die on the count of not being able to breath (no water passing over its gills) and bleeding to death. the victory would be sure to attract other sharks soon though and they would be in hunting mode. bad for the croc.

I would have to take the shark. I think it would be able to swim faster and elude the crocs powerful jaws. But it would be fun to watch from the safety of a diver's cage. Man, the croc's tough hide might be difficult for the shark to penetrate whereas the shark's softer flesh would take more damage from one bite. I think the croc would win but die shortly thereafter from wounds received in the battle.
