32bit Windows can access upto 4GB of memory, but mostly can only use around 3.2GB due to the overhead of PCI devices.
64bit will bypass the memory limitation, but to get hardware drivers for it is a task on its own, unless all your hardware (and future hardware you have in mind) has native and supported device drivers, you will be asking for trouble.
Also 16bit applications wont work under 64bit Windows either.

32-bit software will run on 32-bit processor, and 64-bit software will run on 64-bit processor.

64-bit means that you can address larger amounts of memory - useful for server machines.
