yes it could be one of several things

memory
graphics card,
pirate copy of windows (not saying it is)

Best thing to do is read, the spec file for directx 9 it will tell you what the hardware requirements are

One of the problems with Microsoft is you can not download the full programs....they like to install it.. ms like to know what you have got on your computer, (to see if you have ms pirated software) if you have they will not let you download anything.

if you have or are going to install Vista that is worse it phones home every day and tells ms what you have on the system that includes pirates downloads of any kind,

alot of software does this ,and its ok. no need to worry! install the software anyway!
