It would really depend on what your definition for the two terms is. A school of Martial Arts, has to teach combat skills. However, it also has to promote mental and spiritual growth. I know this was talked about by another, who actually did a good job of it.
So is there a difference?
No, because the Martial Arts are centered around fighting principles.
Yes, because the difference comes into play when you consider the motivating factors behind the fight. There are some very honorable reasons to fight. It is also safe to speculate that there are just as many dis-honorable reasons as well. Also anyone can learn to fight, or even fight without taking a class. Martial Artist learn how to avoid getting into physical conflicts. The biggest difference lies within the personal growth that can be achieved in the Martial Arts. Something you will rarely see else where.

Fighting is learning to defend yourself with real and true ability. Martial arts is just that ART. It is kata, tag and fluff. It is a way to spend money and time to gain a false sense of the ability to fight. O' yeah some dojo's are used as babysitters as well. Fighting is a true survival skill Martial Arts is a money making, hype. A bunch of wantabe's that pretend to be fighters.
In a nut shell Fighters are UFC -- Martial Arts are WWE

Fighting is just trying to hurt/kill someone in any manor possilbe. Where as Martial arts are more controlled and you kick their *** while looking good at the sametime.
Think there's something about self control and stuff like that with martial arts too

Your question is similar to "what is the difference between arguning and debating" people who argue, fight and throw things often randomly without staying calm and getting angrier and angrier as it progresses. While people who debate, try to reach victory by staying calm, without shouting,

I think martial arts is an art. An art of fighting. A no anger mental kind of fighting, with cordination and skill.
