The answer is simple; diet and exercise. However it is the execution that's difficult. What I recommend is that you avoid fad diets and thinking you can lose the weight overnight. The more weight you lose at a controlled realistic pace the more weight you'll keep off. Getting down to a healthy weight (notice I didn't say thin) is a lifestyle choice. It's not something you do for a couple of months and then go back to the potato chips and 6 hours of TV.
Suggestions:
1. Find out why your over eat. If there is an emotional component you need to try and resolve it or you'll be struggling all your life.
2. KISS. Keep it simple stupid. Find a realistic and simple plan you can follow Especially at the beginning. Walking 30-60 minutes a day is a great exercise. Also include some kind of fitness that builds muscle.
3. Drink lots of water. It really does make a difference.
4. Find a good book that offers a realistic lifestyle plan that incorporates all healthy foods. I recommend the GI Diet. You can find it on Amazon or Ebay or at your local bookstore.
In the end it's as simple as eating as natural as possible. Prepare fresh food.
5. Get rid of the junk food in your house and you get rid of the junk in your trunk.
6. Find people who support you. If all your friends eat only junk and are always trying to get you back in there weigh class then find some fiends of like mind who want to improve their health and know your struggles.
Ultimately it comes down to you. Everyday ask yourself if what you are doing is helping you achieve your goals. If you make a mistake, forgive yourself immediately, turn around and head back on the healthier road.

The best way I have found is to join a gym, get a personal trainer for 1 or 2 times, this will cost you about $120, this is mostly so you understand how everything works. Then go to the gym everyday, 1 day a min. of 45 cardio, the next day weight train with abs everyday and alternate taking weekends off. Plan your meals and go with a lot of protein, fruit and vegetables. Going to the gym and seeing everyone else work out will inspire you. If you do it right you should feel slightly hungry at night, DONT EAT, you will loose weight so fast and you will look forward to the gym. Make time for yourself

I am trying to lose some weight myself and my focus is on the value of healthy nutrition, regular exercise and daily habits as the key elements in shedding the pounds. My exercise choice is power walking (60 min). Power walking burns a lot of calories but won’t leave you extremely drained. However any good sport will eventually help you lose weight; if there is one that you actually like engaging in, go for it.
And just remember that diet and exercise are like other important things in life: it takes time and sweat, but the result is well worth the effort!

A healthy diet combined with exercise. Eat 3 meals a day with 2 healthy snacks (something with a bit of protein) exercise everyday for at least 30 and you'll tone up and the weight will go.

find calorie/fitness calculator on the net, enter all your stats and it will tell you how many calories you need a day to maintain, take off 300-400cal off that number and thats how much you need to lose.
eat 5-6 small meals a day (eat every 2-3 hours)
5-8 servings of fruit and veggies a day
8 glasses of water
have complex carbs for breakfast - they give you energy
have lean meat (protein) for dinner - repairs muscle
cardio exercise 4-6 times a week for 30-50min, light weight training
dont consume foods that are made of white flour (white bread, cakes, past etc.), sugar loaded foods (cookies, icecream, candy etc) and nothing fried - no junk food.
ofcourse you can spoil yourself with a little snack once in a while:)
