i really just wanna help him.
he needs a girlfriend,
but its hard cause he is kinda "emo".
our whole group is kind of like that.
the group consists of me and four other guys!
and not many girls in my school like that "emo" look.
he is the worst looking guy in the group,
and he is my closest friend.
i know this sounds so mean,
but i really just want to help him!

Nonetheless, someone might find him attarctive, even though you don't. I would leave him alone. If you absolutely have to, mention something like "Oh, I think this hairstyle/clothes would look great on you" when you have a convenient opportunity, like there is a fashion magazine lying around or something.

If you want to help him, support him, don't hinder him! You telling him he is unattractive will only add to the whole "emotional" thing he has going. You are right though, most girls think the emo thing is unattractive, so until he is out of that stage in his life, maybe he won't find someone to be with, but by the same token, he wants to find someone attracted to his whole self, not the way he looks... that is where the true happiness is.
Leave him alone in that regard, be his mate, no someone else to put him down.

If he's the worst looking in the group then it's highly unlikely he needs you to tell him how ugly he is. You don't have to be emo either to take an insult like your implying badly and if he really is emotional then he could end up losing confidence in you.

depending on how close you are, you could probably just tell him directly, just let him know that you mean well. or you could take the approach of suggesting improvements instead of saying negative things, for example take him out shopping and suggest some good clothes, if he seems to be frowning find something that will make him smile, and so on.

but why does he need a girlfriend?

Oh, don't do that!!! That would be cruel. If he's your closest friend, why do you want to hurt him like that? He doesn't "need" a girlfriend and you guys sound very young. He has plenty of time for dating when he's ready. If you tell him he's not attractive he'll remember that for the rest of his life and it's going to hurt his self-esteem.

You don't help someone by telling them they are unattractive. Don't try to change him, let him be who he is. I'm sure his emo look won't last forever. You say he NEEDS a girlfriend but does he want one? Maybe he is happy just like he is.

Tell him you want to go with him to pick out some clothes and shoes. If he is interested in finding a gf, tell him that personal appearance is very important, and you want to help.

You can hardly help a person by telling them they are ugly. I suggest you tell him ways you think would improve his appearance and ask him to try them.
