You might go a little stronger than just an exhaust fan. A small dehumidifier works much better at controlling mildew. If you're going to do a wood ceiling, use a treated lumber or cedar along with the dehumidifier and you'll be just fine.

Yes, it will mildew if not treated and even if it is treated, it may still mildew if you don't have enough ventilation. You don't say if you have a window or a fan in the bathroom, but I would solve the ventilation problem first before you go to all the time and expense of putting in a new ceiling. While you're in the process of putting in the new ceiling, why not install a new fan/light combination in the ceiling?

What you need is to get the moisture out. Install an exhaust fan. The grout on the tile will also mildew, as well as the wood. You could use the green board and paint with an enamel paint.

The key to controlling mold in the home is to effectively control sources of moisture and provide adequate ventillation to the area via exhaust fan (possibly even with a fantech motor or equivilant, equiped with a humidistat). Keeping indoor moisture levels to less than 45% is recommended. Frequent disinfecting of the area will also prove to be beneficial.

2.) Treat with bleach often
3.) Do not use cellulose around fungus because its food.
Concrete board or green board is better.
4.) Check for water damage -- you may have to tear out the wall.
