After 11 years of marriage, I ask my husband what he needs from me at these times. Sometimes he just needs me to listen to him, sometimes he really wants my input. Sometimes he doesn't know what he wants so we just wing it.
Sometimes all I can do is listen without interrupting...ask questions to clarify so I can understand what he's talking about...and then just put my arms around him and tell him how sorry I am that he is struggling with this and I wish I could solve his problem to make things easier for him. I remind him that he is a really smart person and no matter what happens, I will support him and love him.
He gets to verbalize what is bothering him, he gets physical comfort in the form of a hug, and he gets validation of his abilities. Knowing that no matter what, I will still be there through through thick and thin also helps give him courage to do the right thing.

They want you to listen to them and offer up any good advice if you have any to offer, but if you don't then just listen. Because they'd rather you not say anything then say something that won't help or is what they consider to be stupid.
Girls, on the other hand, usually just want a sounding board and maybe a shoulder to cry/lean on.

Depends on the person and their personality (ego). Most of the time they are just 'venting' and want you to just listen and understand. Sometimes it's like a "forewarning" (you know, I've had this crappy day so don't lay anything else on me - type thing). Listen intently, let them know you understand but DON'T interject your own work problems. Then after they're done venting. Give them hugs and kisses and distract them from it (dinner, walk, movie, etc).

They are venting, much like women do. It is a way of releasing the pressure from not blowing the lid off of things while at work...
Just listen nod your head occasionaly, and have the look of understanding in your face. That is all that is required at this point.

A little of both. Most times, people just want you to listen while they vent, but if you want to help, just ask if there is anything you can do.

I think it really depends on the guy and the conversation, mostly they want you to listen but they might throw in a "what do you think" now and then and thats when they want an opinion.
