It is odd that a fresh install would keep freezing like that.
My first instinct says it's a bad disc. But you should try a few other things first if you can't get a hold of a different disc easily.
You should test the laptop with a different stick of memory. This issue sounds more likely to be related to a device driver or some other conflict with one of the updates, if it's not a bad disc. But you should still test it with new ram because it's easy to do and it eliminates the possibility of the ram causing the issue.
Have you tried booting into safe mode? If you hit "F8" right before the "Windows XP" logo screen pops up, it will allow you to go into safe mode.
If it goes into safe mode with no problems, you could read the event log under Start ->Settings ->Control Panel -> Administrative Tools -> Event Viewer. That will give you more information on what exactly is happening when it reboots. Repost with the information you get from the event viewer, maybe we can get a better idea.
Then see if Dell will replace the disk again. It is likely that you got a bad disk.

First of all how are you installing the SP2 version. You should format your hdd and install a fresh windows.Do not install on top of the pre-installed windows.
If you are able to go thru the installation process without a hitch then OK. If you encounter a problem during installation then you might have problem with components inside your machine which windows is getting difficulty to recognise. In this case get some help from an expert.

The freeze up which is causing your PC the reason would be vary but in your case:
- Your windows maybe corrupted, reinstall the windows XP sp2 and it will run smoothly, to test whether your windows is corrupted then do the following:
a: when the welcome screen come press Ctrl+Alt+delete and do a log off.
b: after the log off finished log in again and if it does not freezed then your windows is corrupted.
- take out your ram and put in the another slot, make sure you have ground bracelet, which discharge human electric which cause damage to PC.
- change the location of your PC and see if the PC fan don't chook up in the place where you put them, means your PC should be in a free place which can the fan can take out the heat of insid your PC

The automatic booting problem you get is done by Windows because by default, Windows is set to reboot when it encounters a system error.
I didn't find anything on Microsoft's web site regarding your computer modal and installing XP.
You should check Dell's web site to see if there are any solutions to your problem for your particular model.

Hi,
I guess ur computer is infected with some viruses or trojans,
Live Update ur Antivirus program in Windows Normal model and do a full system scan in Safe more ( to get safe mode while ur computer is getting restarted before the winxp welcome screen press F8 button from key board)
Also Get some good spyware removal tools like Adaware, Spybot, and Microsofts Antispyware ( http://www.microsoft.com/athome/security/spyware/software/default.mspx )

spywareblaster: http://www.wilderssecurity.net/spywareblaster.html

Download and install and do a scan.

You can also run the free http://www.ccleaner.com/ to check for problems within windows.
One of these should fix the problem.

Any other software errors (BSOD/Crash Report) you've been getting? Have you ruled out any hardware failures? (overheating will often cause a system to hang, slow down immensly or shut down completly - depending on severity and/or what hardware is failing)
