you dont have to count the exact amount of calories - just know aproximately how much you have consumed.
for example:
breakfast - old fashioned oatmeal with egg whites and you can top it with some veggies or i like avocado peaces. an apple or orange.
snack - banana or celery sticks with peanut butter
lunch - salad with ff vinegar dressing, some lean meat and slice of whole wheat bread
snack - baby carrots, yogurt, a fruit, whole grain cereal with ff milk etc.
dinner- steamed veggies with lean meat

find calorie/fitness calculator on the net, enter your stats and it will tell you how many calories a day you need to maintain your weight. take 300-400calories off that number and that's how much you need to lose weight.
eat 5-6 small meals a day instead of 3 big ones.
5-8 servings of fruit and vegetables a day.
8 glasses of water a day.
4-6 times a week cardio work out for 30-50min plus light weight training.
no junk food, no sodas, no white flour (white bread, pasta, cookies, cakes etc)

Fad diets, like Atkins, are often only designed for the short-term. Atkins puts your body into a state called Ketosis. "Most medical resources regard ketosis as a pathological state associated with chronic starvation."* Carbohydrates are the basic fuel your body runs on. A diet is not something you go on to lose weight, it's your eating lifestyle.

The basics of a healthy diet are easy.
1. Eat as many meals as possible. The more meals you eat though, the smaller each should be. Eating 5 meals a day for instance increases your metabolism about twice as much as 3 meals a day. I've known of people that eat up to 14 meals a day.
2. All things in moderation. Portion control is a lost skill, especially among Americans. The serving sizes on Nutritional labels ARE accurate, even though most people don't think so.
3. Variety is the spice of life. The more you vary your diet the easier it is to eat healthy. Try new vegetables and fruits in particular. Or try cooking new things.
4. Avoid "fast food" like the plague. NOTHING in fast food is healthy, not even the salads.
5. Avoid foods that are white. Long grain rice instead of white rice. Wheat bread instead of white. Avoid sugar and salt.
6. Baby steps. Take small steps to change your eating habits. Switch to diet soda one week, the next switch to wheat bread, etc. Changing lifelong eating habits is difficult. And don't get discouraged if you relapse, everyone does. Just try, try again.

As for increasing protein to build muscle...ABSOLUTELY! But remember you need lean protein. Tuna, low sodium chicken, protein shakes that aren't loaded with fat and sugar (avoid Muscle Milk for this reason).

First off cut out all over processed food and DRINKS from your diet (yep kiss fast food goodbye). Replace soda with water and low calorie sports drinks. To ensure you continue to build lots of muscle during your workouts eat tuna or some other type of high quality protein after each workout.

A great low calorie sports drink is: ultimareplenisher.com it doesn't have all the calories and sugar that other sports drinks have.

no lots of protien isn't good unless your looking to drop around 20 pounds max. For you i would just stay away from soft drinks all together, alcohol, and greasy foods. Up the veggies, lower the carbs a bit, keep the protien but get lean stuff. Drink skim milk(if you drink milk)

NO WEIGHT TRAINNING IT DOESN'T REDUCE BODY FAT,
DO CARDIO!!!
