Read the MSI User Manual. It will tell you if your CPU is supported or not.

The Socket 754 platform is done. You will not be able to upgrade to a new processor like the Athlon X2 dual-cores. (you can upgrade to an Athlon 64, but I don't believe AMD are making any more). Also the AM2 platorm supports tfaster and higher bandwidth DDR2 RAM while the 754 only accepts standard DDR. So in short 754 is older, slower and not really upgrade-capable. AM2 is the better choice.

Absolutely.

it's the same socket-AM2.
the correct question should be: "Will MSI K9VGM-V Motherboard support AMD Sempron 2800 AM2 Processor ? ? ? " :D

Yes, actually, I have that motherboard and processor as well. (Recently upgraded.) Just make sure it's an AM2 processor and things should go well.
