find calorie/fitness calculator on the net, enter your stats, take 300-400 calories off that number and that's how much you need to lose weight.
5-8servings of fruit and veggies a day
8 glasses of water a day
5-6 small meals instead of 3 big ones (breakfast is the most important - make sure to get complex carbs like whole wheat bread, oatmeal, fruit etc)
4-6 times a week cardio for 30-50min, light weight training, many reps
no junk food, no sodas, no alcohol, no white flour (cakes, cookies, white bread, pasta etc.), nothing high in sugar (ice cream)

Do not eat carbs after 3pm...do Ab workouts, that is a give in...carbs and stress will add weight around your stomach and love handle area. Try to eat a snack for dinner instead of a full meal. One of my favorite Ab workouts (not situps) are knee raises. I know it sounds silly but sometimes I recline the seat in my car just a bit and do mini situps while I am driving. Not to the extent where people can see me and think I am crazy. Just so you can feel your stomach tightening. Turn the radio on and tense your stomach to the rhythm of the song. Hope this helps!

Work your abdomen, excerise and lay off fatty foods. These woudl be some basic steps...your stomach can not nessarlly be flat. Remeber you do have organs in there...

Do ALOT of sit-ups...I'm talking until your sweating...Listen to music while you do them, and ignore the pain.

Works for me and by the time I wake up It's flat if I ate a lot that day.
