There are a LOT of differences between the two so I will concentrate on the second part of your question.

A denominational church is any church that considers itself "part of the whole". Think of it like money - if you wanted change from the bank for $200 they would ask you in which denominations you would like it? So whether you wanted four $50's or two $100's both add up to your total and it doesn't matter if you like the $50's or the $100's better because, again they're both giving you the same total. If you are in a denominational church then you (most likely) believe that your church is on the right path to Heaven but also that there are many other churches on the right path that are just different denominations (Methodist, Baptist, Lutheran, Church of God...). You believe that all Christian denominations are "part of the whole" Christian movement and it doesn't matter which one you attend for the most part.

A non-denominational church used to mean that you did not take part in denominational thinking - for example your church is the one, true church. (Catholic, Church of Christ...) So these groups believe that it very much matters which church you attend because you must find the one following the scriptures most closely.

However recently many Community Churches and other movements have labeled themselves non-denominational but they are truly inter-denominational churches which means basically the same thing as being denominational - it is the 'we don't care which church you worship with as long as you believe in Christ' kind of thinking.

I hope I didn't make that too confusing... :)

Some of the differences follow. The Catholic Church was founded by Jesus Christ in 30 AD (Matthew 16:17-19). The Baptist Church was founded by John Smith in 1609. The Catholic Church is led by the successor of St. Peter, the first pope (Matthew 16:18-19; Luke 22:31-32; John 21:15-17). The Baptist Church has each local congregation as its own authority. The Catholic Church believes that the sacrament of Baptism is normally necessary for salvation (John 3:5; I Peter 3:21). The Baptist Church does not. The Catholic Church believes that doing good works is important to ones salvation ( Matthew 25: 41-46; James 2:14-17). The Baptist Church down plays the role of goodworks. The Catholic Church believes in the 3-fold priesthood. The laity or priesthood of all belevers (I Peter 3:21); the ministerial (Acts 14:4; Romans 15:15-16); the high priest (Matthew 16:18; Luke 22:31-32; John 20:15-17; Acts 15: 7-12). The Baptist Church only believes in the laity priesthood. The Catholic Church believes that she was ordained to forgive sins in God's name (John 20-21-23; Matthew 18:18). The Baptist Church believes that God does not forgive sins through any church. The Catholic Church believes in the communion of saints (Revelation 5:8; 8:3-4). The Baptist Church believes that those Christians that have died cannot aid us in any way.

So as you can see the Catholic Church is a biblical church while the Baptist Church is not.

Catholics belive in intermediary prayer (talking to God through a priest, confession, etc..) Baptist believe you can pray without the help of a minister and confess your sins on your own. Catholics belive in the divinity of Mary and the saints, Baptists believe in the trinity (God the father, Jesus the Son, and the Holy Spirit or spirit of truth left on Earth when Christ ascended). Catholics have added more books to the canon of the Bible (ie.. the Macabees) Baptist do not. Catholics believe in purgatory (a place between heaven and hell) baptists do not. Baptists believe in "priesthood of the believer", catholics in priesthood of priests. A non-demoninational church is a church which claims no doctrine but is typically made up of protestant Christians. They follow no national charter or hiearchy and are completely independant in how they function.

A non-denominational church is a church where there is a general worship, like worship christ, etc, but without giving it a label or the traditions of specific denominations like Catholic, etc.

Baptists are Protestant, Catholics are Catholic. Catholics hail Mary and confess their sins to a priest. Baptists, confess their sins directly to God, through Jesus Christ. Catholics are very quite in worship... baptist are more vocal is worship and missionary work. Non-denominational church... doesnt adopt the titles of baptist, catholic, apolstolic, ect... it is JUST Christian... in an effort not to further seperate the body of Christ.
