Physically Ali had the reach and speed advantages over Rocky, Ali was a far more skilled boxer and had faced probably the toughest competition of any heavyweight in history. If Ali could beat the likes of Liston, Forman, Frazier and Norton, there is simply no way other than a bolt of lightening striking him as Rocky lands a punch could Ali conceivably lose to Marciano.
In his prime Ali would pitch a shut out and take all 15 rounds easily if Rocky survived the distance and didn't get KOed.

LMAO at the first guy who commented! Ali hands down would win. Marciano would have nothing on him. Ali would box circles around him all day.
