Go on a shopping spree for a whole new Wardrobe. And go to her house with her and tell her: " Well now you have to (burn lol) donate or throw out some old clothes". Don't be mean if you want her as your friend. Also watch What Not To Wear and point out some cute clothes.
Have fun and Good luck

Wow, that's a tough one! How close of friends are you? By ugly, do you mean she dresses in out-of-style clothes, or just stuff you don't like? Do they not flatter her figure - what?

I guess I'd suggest a 'fashion show' and have her try on all her clothes (although this may make her think you are a perv or worse) then rate them on a scale from 1 - 10 - 1 the ugliest, 10 the hottest, then allow her to choose an outfit or two to ditch and then go shopping!

I hope this works with your friendship intact!!!

Well the only way to say it without hurting her feelings is to go shopping with her and let her try some stuff on. Compliment her and tell her she looks great!

It could be that she has low selfesteem or that maybe she cant afford to dress better.

Why not invite her to a girls night ou and get ready at her place, rummage thru her closet and since you wont find anything nice their say something like "Uhhmmmm I was thinking something more....and theres your chance to fill in the blanks on what kind of clothes you think she could wear to make her look nice.

Good Luck!

Why not go shopping with her. Find something that does suit her, and then force her to try it on and gush when she comes out of the dressing room. Then tell her if she dressed like that, she'd look so much hotter than she does when she dresses down/casual like she does now. Then suggest some colours or styles she'd look good in.

You don't! Maybe she likes the way she dresses and she might think that you dress ugly. You never know. Not everyone likes the same thing. Thats why they make different styles in clothes. If she is your friend don't hurt her.

All right honestly don't...Their may be fact of why she is dressing the way she does...She may not have money for other clothes...or she is comfortable with what she wears but whatever it is trust me its not worth loosing a friend over. Now you could actually ask her to go shopping with her and show her stuff that would look cute on her. That's a nice way to go about this and no one gets hurt.

What makes it ugly? Maybe she is having the same problem with your clothes. She must like what she wears. But you could probly hint to her that you dont like it by going shopping with her or just saying how you feel in a nice manner such as friend, what makes you choose the outfits that you do? have you ever thought of trying this style? Ect.

Tell her that her style is out dated and you want to go on a shopping trip with her to help her pick out some new clothes!!! my sister in law was so stuck in the 80's (now that style is coming back) her 7 year old daughter was the one to start this conversation telling her that she wished she dressed more like her aunt CJ (me) and so when my SIL told me I told her she had a point and that we could go shopping together... she wasn't that offended I really think that some people just don't know or realize

There is a way to be nice and yet get your thought across for example you know you might look even better if you tried wearing this and sometimes just saying something helps if you are a true friend then you wouldnt have a problem helping her out by telling her
