sniper in front of a court house.
nobody in comics ever actually stays dead. this is just a sales gimic like the time DC killed superman. cap will be back before you know it. just ask bucky barnes, colossus, gwen stacy, norman osborne, frank castle, or a million other marvel characters whove returned from the dead.

shot by sniper 1st then then by a shield agent under hypnosis. It was arranged by the red skull. At the end of Capt. #25 it shows him lying on a hospital bed covered by a white sheet and his head is turned so you can see his eyes open. So it looks like he is really dead for now.

Why, I don't know. But it was a sniper.
There's talk that he's not really dead, though, but in a coma.
That's according to some of the other answers to this question all over this site.
