In 2000, I received H1B for company A
In 2002 I changed my status from H1B to F1
In 2003, I got job at an exempted non-profit institute and they
filed for new H1B , instead of reusing my old H1B
In 2006, I received 3 year extension on current H1B

Now I have an offer from a private company,
What can I do to transfer my H1B to this new employer without getting counted in a H1B quota?

Nothing. You're going to have to compete against everyone else wanting an H-1 from the quota. I can't imagine that this comapny would want to hire you with such little time left on your H-1B AND take the chance of you not meeting the quota.

No, not unless there is another, new, H1B visa available for you from the new quota.
