Will any penalties be assessed?

Even if you don't activate the card or cancel the card, the card company will consider the account valid.

You won't have any penalties for simply not activating the card.
BUT if the card comes with monthly/yearly fees you will be charge the fees. If you fail to pay the fees it will lead to negative marks on your reports and the possibility of it being sold/transferred to a collection agency.

It shouldn't hurt your credit, but it won't help it either.
