Although they are both stellar cars, the 540 is the more powerful, more exclusive and hence more expensive version. The 540i is equipped with a powerful V8, vs. the inline 6 of the 528i. From an outside exterior appearance, other than standard upgraded wheels included with the 540 and badging there are no differences. They are identical on the inside as well.
The 540 is more expensive not only to purchase, but to operate as well. The 6-cylinder 528 has better gas mileage, and typically costs less to repair, especially in the case of catastrophic engine failure.
If you are buying the BMW as "The Ultimate Driving Machine," the 540 is the better car.
If you are buying the BMW as a luxury sedan, and are cost conscious, the 528 is a better car.

better is a very subjective word.
define better.
as for the question, depends on what you mean by better.
power= 540
economy= 528
running costs= 528
insurance= 528
standard options= 540
looks= tie. unless you are talking about two different generations of 5 series. in which case whichever one is the E39 wins.

it depends on what you look for a car. if you want to have fuel economy, go for the 528i. if you want that kick everytime you floor the accelerator, go for the 540i.
personally, i prefer the upcoming 535i. its twin cam turbo is good enough for me and i do not require that much horsepower. but i would like a kick whenever i floor the accelerator so a 535i is great enough for that. i'm still waiting for the day that it will be released.
and remember to factor in the body weight. BMW is known for its heavy body, so getting something with a bit more power is usually worth it to get ahead and speed on to the next traffic light.

What are you looking for? Gas savings or performance? If I were in the position to purchase one....I would buy the 540i and the sport package. 6 speed gear box and the staggered M parallel wheels.

I personally prefer the 350, the 850, and the M1 but they're all a tee bit rare.
