Agree with Chucky Midi to MP3 is easy and there are many tools that can be downloaded to do this. Each midi track can be assigned a voice and then played and then combined to make the final MP3 music file.
On the other hand MP3 to Midi is very difficult as all the instruments and voices are intergrated within the one digital audio file. The only way that you could seperate them would be by the use of filters set to specific freqencies and then sample each filtered track and convert this to the midi format.
I do not know if this is possible, I have not heard of any software that can do this.

If you have two computers or an audio output from a midi instrument you could connect up to the line in socket of the first computer. Play the midi file on second computer or midi instrument and record the sound on first computer using windows sndrec.exe or any audio recorder. Some audio editing software is free or shareware and will save the file in .wav format. You could then get windows media player to convert the wav file to MP3 format. or use another program to convert it. One site that offers recording and converting software is:

MP3 to midi is not really possible, the other way around midi to MP3 is possible! Why do you want to do that conversion?
Remember midi doesn`t have the people`s voice it is only the sounds of the instruments. If you want to convert them to midi to use them for Karaoke purposes rather get the plugin for Winamp from the Winamp Website (www.winamp.com) and remove the peoples voices that way.

U will get a software and lot of softwares are available freely.
just download it & do it
