Institute a system of rewards and punishments. Give when he does what you want, take when he doesn't obey.

Talk with him to see why he is not listening. Then explain to him how to listen, what it means to pay attention. How often do adults tell a child to listen or to pay attention without really describing what it means. Try telling him EXACTLY what you mean and what you expect. Help him learn to take notes or other activity to keep his hands busy enough so that he can listen. Explain to his teacher what you are doing and all three of you should come up with an appropriate reward for improved listening and performance.
