Well, say I'm having a conversation with someone who I don't find particularly attractive. Now, she says she's ugly and she wish she were pretty. I have no idea what to say without leading her on. I don't want her to think that I like her, but I don't want her to think that I find her ugly (even if she's not exactly the prettiest girl out there). I don't want to sound like a jerk, and I don't want her to feel bad.

Whenever this has happened to me before, I've always said, "Psh, quiet, you're cute and you know it."

Why do you have to say anything at all? I mean she knows that she is ugly so there is no point confirming that and hurting her even more. On the other hand if you tell her that she is pretty she'll know that you are a liar. If you must say something tell her that she is not that bad, probably just an average girl, and you may add that she's got great personality which is also important. Bottom line is there is someone for everybody, even the not so good looking ones and eventually she'll find her match.

You are stuck between a rock and a hard place. but here goes you can tell her the truth that right now she is still growing and has ever chance in the world to shine one day. For goodness sake some of the hot girls look really fugly without make-up on, and still others will age like crap it is usually the plainer ones that age to be beauties when they hit around 50 or 60. Tell, her one day she will met a guy that thinks she is hotter than fresh bread and that is all that matters. Tell her you are saying that as a good platonic friend that wouldn't steer her wrong.

That kind of leading and maybe a jerk if you had a certain tone. Just say don't beat yourself up.
and maybe say beaut is in the eyes of the beholder. Well maybe this one wont work so keep with the first one dont beat yourself up.

there is really no right way to respond to that, but don't:
1. say "you look fine"....bad bad idea, automatically know you are lying
2. lie to her
3. say something that would require you to repeat in different words

you could try asking her why she thinks she's ugly, and then turn the tables on her and tell what is ACTUALLY pretty/attractive about her

Just tell her she isnt ugly, it doesnt need to go any further than that.
