Use specialized tool; I do use ffmpeg for Linux for this, it is EXTREMELY versatile compare to anything available for Windows as free or shareware.

ffmpeg -i somedivx.avi -ar 32000 -ac 1 -ab 128 output.mp2
This line extract the audio, either mp3 or otherwise, to an mp2 (audio used by MPEG1/2) with a frequency of 32000 Hz, mono sound, audio quality bitrate of 128 bits.
