It's not that they don't want the proximity it's that they are mentally "booked" with their quota of meaningful people in their lives. It can be exhausting to acquire another relationship when have already spent your emotional energy on the other ones you have. For instance, how many of us begin MOST of our emails with an apology for not having written sooner? We all have too much STUFF. Then of course, you have the types of people who probably DO have room for someone in their lives, but they are too selfish to want them. They want to spend all their emotional energy on THEMSELVES.

its usually because of past experiences, like if they got hurt or something. its not a bad thing though, because they need time to think about stuff.
but the key word of the question is too close, so if they are getting too close, its probably cramping their privacy =p

No one likes to be hurt. The more vulnerable we are, the more likely we are to get hurt. It's easy to put up a defense and keep people away from you.

Fear of rejection is the obvious answer, however make sure you are not reading too much into the relationship to begin with.

People get scared when they know they are vernalable. So to protect themselves they pull away..... I have done this, no one likes to get hurt
