If the new motherboard supports the same socket type and speed of your old CPU. (socket LGA775, 939....)

Similar applies with the memory. (DDR, DDR2....)

All depends. If it is a P3 on a P4 board then no. If it is an AMD on a intel then it will depen on the board. Some can take both but not many. Check the specs on the motherboard to verify.
