Intelligent and able to hold her end of a conversation -- this is far and away the most important.
She should have a sense of adventure -- not reckless, but enjoys trying new things. Enjoys thinking outside the box, creatively.
She should take care of her appearance. This doesn't mean she needs to be stunningly beautiful, but she should put some care into looking as nice as she can for me. It's amazing what a little care with her hair and attractive clothes can do.
A little attitude is nice. Playful and willing to take the upper hand sometimes.
And of course, she needs to like and want me and appreciate me for what I am.
She should be kind, pleasant and fun.
Turn offs -- bitchy, critical, horribly sloppy, stupid.

She has to be comfortable with herself as a person, she must be intelligent, she would have a good sense of humor and wit, and be spontaneous and active. Physically she would be average height (about 5'6"-5"9") well proportioned and have beautiful eyes and a smile that radiates freindliness.
