The first thing to do is sand smooth and then use a sealer/primer like KILLZ. Then use a satin finish latex paint.

If the panelling is varnished and you want to paint it, you will find it will be easily chipped. My advice is not to paint varnished wood.

If you still want to :-

1) Rub down with 120 grit (or finer) paper
2) Apply acrylic primer/undercoat
3) Apply oil based undercoat (mixed to same colour as top coat)
4) Apply top coat.

Not sure. But i know that Lowe's has a great selection of paints to choose from(Good Quality) and the customer service is excellent compared to Home Depot. I would consult a specialist at the store to help you with that. (Not sure if they still do this, but an associate did this for me when I decided to color my front door to my home)they may help you mix sample paints to get the color that you are looking for in your panels. :-)

All depends on what you mean by brown panelling. If you mean its veneered plywood you need to lightly rub down to give it a key, use a water based primer, rub down and re-apply three times and then apply a final coat. Always rub down between coats to your desired finish.
