No. Because of massive piracy, when you install Vista it connects to the MS server to activate. When it connects, it checks to see if that copy is already in use. If it is, it won't activate a second time. If it doesn't activate, Vista won't run on that computer until you install a legal copy.

You don't have to buy a whole new install disc, though. You can purchase a second license from Microsoft and then install it and you'll get a second code to put in.

Let me tell you what that upgrade C.D. is all about.
If you are talking about the one that comes with your new p.c. then it is only for that certain computer.
Also, what it is, is it gives you the option to upgrade from Vista basic, ( if that is what you have) to Vista business, or Vista premium or Ultimate.
It just gives you the opportunity on a free trial basis for something like 30 days, and then you have to pay for the upgrade to a different version of Vista. It is also recommended that if you do an upgrade to also upgrade your memory for best perfomance.
They now have the capabilites of using 1000 TB on your hard drive capacity along with larger amounts of RAM. This new system you can also watch t.v. while surfing the web if you have a tv tuner card. on the same screen instead of switching from one window to the next. you could have 4 windows showing at the same time.
Right now, Vista is having incompatibility issues because it is so new to the technical environment. XP had the same issues when it first came out. Most the software out there right now is only XP compatible unless stated otherwise on your packaging or software. Vista has more security and it will stop people from being able to hack into your computer so easily with it's pirating software. It has alot more graphic capabilities and is really going to be an awesome system once all the little quirks are worked out.
But back to your question.
The C.D. is only for the computer that it came with, unless you contact microsoft and purchase the use for two different pc's. you can not use it on both.
What most people are not aware of is with Vista, all your restore files are built in to your hard drive instead of having to buy a restoration disc. It also will have troubleshooting abilities to help you to fix your own computer when you can not connect to the internet or have other issues with it's perfomance.
Give it time, have some patience and you will be very happy with your new system.
