I think that a good way to ask her out would be to first ask her if her parents have any rules about her dating. Like it has to be in a group, only on the weekends, you have to meet the family first... stuff like that.
That should open the conversation and get you through the akward stuff, then you can either plan an individual date from there, or talk about getting a group together for the weekend.

Well the easiest way would probly be using a note. Write a nice note to her asking her out, then if she says no you wont be hurt as bad, but if your really open with her ask her would you ever think about going out with me or something like that so its not direct

Yeah, ya'll are in love. I've said this to a lot of Yahoo people, but you may want to consider it. here I go:
1 find out where she lives
2 buy a pizza
3 write a note asking her to go out with you
4 put the note under the pizza
5 put the pizza at her doorstep
It's a romantic dinner

Say something like this: "I really enjoy the time we have spent together talking. I'd like to get to know you better. Do you have some free time Friday or Saturday, and would you like to go see a movie or (you fill in the blanks)?"
It couldn't hurt if you handed her a flower either at that time or on the date.

soooo...
either you can go with the classic and...
use a note.. pass her a note.. since you seem to sit by her a lot.. it'll be easy to pass to her lol
OR you could
pull her aside outside of your spanish class and say
"it seems like we've been spending a lot of time together, and i really like you. Do you think you'd like to go out sometime?"
8th grade girls are usually DYING for you to ask them out. just go for it and if anything goes wrong, don't let it get to you. you can still be friends with her. =]

say " will you go out with me?" If you are really nervous you can write a note. Still too nervous to give it to her, just put it in her hand and run off. Of course that will signifigantly decrease your chances of actually getting a girlfriend.

Then, find out what that girl likes.e.g. her birthday[ESSENTIAL]
Must give a birthday present.
Next, must get along well with her closest friends.
Also, ask her out sometimes but with friends[for a valid reason]
OR
Plead your friend to organize gatherings and spend sometime with her alone.
Then, give her a little bit of a hint.e.g.u: i like girls with are like [some of her characteristics] OR i like a girl in my class and let her guess till you reach her name.
Best, confess to her[girls like courageous boys. hehe]
Lastly, walk her home and begin a fun relationship. NO real liking its just first love. Take it lightly, you ar still YOUNG.

You go up to her and ask her if she would like to go out with you. Go someplace that is popular in your town for kids your age. Talk, get a soda or something to eat.
