"Attraction" has many levels. Many guys are physically attracted to women, but that doesn't mean they would go up to every woman they find attractive and say "I like you." other want a purely sexual realtionship, which is not commonly shared by women. Some are attracted to women that are already taken, and that could lead to some embarassment and/or resentment.

Well I think that the girl probably has a boyfriend already or that I am at a spot in my life where I am too busy to start a relationship. I might be attracted to her but attraction is just the first step. Being able to be communicate with her and build on that attraction can take a while and sometimes guys don't want to invest that much time at that particular moment in their life.

Well, in my case, it has been fear of rejection. I'm a pretty shy/quiet person until I get to know someone. So finding stuff to talk about at first is kind of difficult at first.
