You probably have SpyWare. You should have an anti-spyware solution on your computer. I recommend that you go to http://www.download.com and get AD-AWARE and SpyBot Search & Destory. Install, run, update and scan your computer with both programs.
These are cleanup tools. Ad-aware cleans files, and SpyBot cleans the registry
You see, SpyWare is trying to get on-line to report your activities somewhere.

The first answers can be correct. If someone has loaded a Virus/Spyware, they could be using your computer as a server for whatever.
If, in BIOS you have the setting to, "Wake on Ring" or "Wake on a certain time" this can cause the computer to turn on at a set time or turn on when the phone rings if it connected to the phone line.
Then you could have both mentioned. Possibly some Spyware may have changed your BIOS to do the go on-line with a ring, ping, or whatever.

do a system restore
system restore ( and this really does help)
click start
> all programs
.>accessories.
scroll down to
>.system restore
(next )
>click on earlier date on calender
pick a day , ( previous)when you know your computer was .functioning OK
the computer will close down
and restart automatically .
Your computer, should then, do what you want it to do !
No data or real time, will be lost by system restore
I gave up phoning the useless ###,high priced ##

I agree with the last answer. You seem to have picked up a "rouge dialler" it connects you to the internet without your knowing. But the worst thing is it can dial a premium rate number, check with your phone company now! and block calls to premium numbers.
Get Ad-aware as sugessted but more important, either unplug your phone line when you leave your computer on, or go broadband.

You might want to check to see if your network card is set to "Wake on Lan" - either in the BIOS or in the LAN card itself under device manager. I had the same problem - system would wake up because activity from the net woke it up...
