Alright, what you need is a plan.
Figure out a way to eat a well-balanced, calorie restricted diet. Plan your meals, and shop the OUTSIDE of the supermarket. What you will end up with (with a detour to the cereal aisle), is whole grains, fruit, vegetables, lean meat, and low-fat dairy. Try to eat within a 1200 to 1500 calorie range (hint: no fast food and don't drink your calories), and you can lose weight.
Exercise does help with a number of things (giving you something to do when you're bored, toning your muscles, reducing your chance of heart disease), so don't discount it. Even a long walk to destress after work has benefits.
