I had this same problem! It turned out I had corrupted files, I tried to replace them off my master CDs but couldn't do it without doing a FULL complete recovery of Windows (basically it wipes your hard drive and re-installs Windows so its like when you first got it)
You need the Master discs to do this though. My System restore is now working properly since I did that

Quite a few reasons, and all of them are because Windows sells buggy software. A few:
1. Malware..Windows allows 114,000 viruses to infect their users computers.
2. Operating system defects. There are at least 80 known defects in Windows XP that there are updates for..more that Windows wont fix.
3. Application incompatabilities.
4. Hardware incompatabilities.
Try a different date.

Okay, besides this what problem are you trying to solve???

This may be because the restore file is corrupt or something.
