How do I do it and what materials do I need?

If you already have the headboard all you should need is fabric, maybe some fresh foam and batting and a staple gun, First pull all the old fabric off and foam and put on the new foam using spray adhesive. Now lay your fabric out and lay the headboard down on top of it. Starting from one side staple the fabric to the back of the headboard and go to the other side pulling tight and staple the fabric in place, now fold the corners down and staple them, cut off excess fabric and that should do it. If you wanna add covered buttons you can buy the button kits at the fabric shop and upholster them but before you put the foam on you need to drill holes where you want them and them put the foam on and fabric, etc. Now using a large needle and sturdy twine or upholstery thread and pull the needle from the back to the front, attach the button and thread back through the hole pulling tight and, I cheated on this part and stapled the twine in place on the back of the headboard, but who sees the back? Anyway, it's pretty simple and an easy way to update a room. Hope this helps!

Since most headboards are against the wall, you only need enough material that will cover the front and wrap around all sides onto the back two inches. This being the first time to do it, keep it simple!
So, supplies:
1. Material - enough to cover headboard
2. Foam - thin 1/4" - enough to cover the headboard and wrap around
3. Staple gun & staples
4. Scissors
Lay the foam over the front of the headboard (centered), wrapping it around to the back and put a couple of staples to hold it. Try to keep it straight and finish stapling one side. Move to opposite side, pull slightly and staple in the middle. Work out to the corners continuing to pull slightly as you move. (By the way, staples don't need to be closer than 3 or 4 inches) Now, do the same on the other two sides. Do the same procedure with the material, BUT staples need to be closer (3/4"). At the corners, you just fold and overlap. Cut away excess material beyond the staples.

IF you are just covering the old headboard, you won't need the foam.

I think all you have to do is get some foam or batting to cushion the headboard. You can use spray adhesive to attach it. Then put the material you picked out over the top of it. Make sure it's tight and using a staple gun you attach the material at the back of the headboard. I've never done this myself but I've seen it done on Trading Spaces many times.
