It will do you know good to do it. You also have to have enough memory just to install XP so that would have to be the first thing to upgrade. I had an old GateWay with ME on it and added more memory 320MB and it did OK but not the best in the world. You will only be able to do basics things and would just be better off upgrading the memory in your computer and saving money to buy a new one. You can add more memory then your computer will take, but it is not going to do you any good. Also do you have 2 card slots or just 1? Good luck.

Check if your PC supports XP (use a friends XP disk or download from the Internet), than buy either an upgrade or full version of XP.
OEM versions require you to empty the harddisk before allowing you to install the new version.
Stick in the CD rom (or floppies if CD is not available) and follow the prompts.
Unless there is a GOOD (want to run some software) reason to upgrade you are probably better off keeping ME: XP likes more ram and better processors than ME, if yours are on the low end, it'll be sssllllloooooowwwwwwwwwwwwwwwwwwww.

just put the disk in during reboot and make sure that your BIOS is set to start with the CD and follow all the prompts. It's easy. To make it even easier for you, just put the cd in the drive while you're in windows open it up the cd and choose upgrade. Upgrade will keep all your programs.
NOTE: I personally would prefer to do a format and reinstall because the operating systems are so different and it has a tendency to cause problems with windows updates.

You need to buy the XP cds from Microsoft....then you need to run the CD or boot from the CD...Then follow the steps after that...
