Vista is an upgrade of Windows, so Yes.

Do you need to upgrade your computer to run vista? I don't know. What kind of computer do you have? Here are the recommended requirements:

1 GHz 32-bit (x86) or 64-bit (x64) processor

512 MB of system memory

20 GB hard drive with at least 15 GB of available space

Support for DirectX 9 graphics and 32 MB of graphics memory

DVD-ROM drive

Audio Output

Internet access (fees may apply)

Microsoft has a program to test your PC to see what upgrades you'll need. It's called the Windows Vista Upgrade Advisor.

I am guessing you meant hardware upgrades. Refer to the minimum requirements posted on the Vista microsoft website.
