It turns out the answer is "nothing".

This site has a link and article on how you can use a Vista upgrade CD to do a clean install without having to buy a full version.

Normally, the distinction is that a Vista upgrade requires that you have proof of a previous installation of Windows - and so is considerably less expensive.

Upgrade updtes you if you already have Windows Vista and buy is a new instalatoion.
