The tool bar is like the address bar, stop/refresh/home/favorites bar, or like one you download such as a yahoo toolbar. A menu bar is the file/ edit /view /favorites/ tools /help bar.

They are usually used intechangable to refer to the "bar" across the top of most windows. However some programs may set up a toolbar that is not part of the main tool bar (menu bar) at the top of the Window. Then the terms could be used to refer to different bars.
